Terms of Service¶

These Terms of Service (the "Terms") govern your use of Holophonix Remote Control (the "App"), published by TonLab, the trading name of Achille Decoussé (auto-entrepreneur), registered in France under SIRET 10251863600018 ("we", "us", "our").
Please read them carefully. By installing, opening or using the App you accept these Terms in full. If you do not accept them, do not use the App.
1. Acceptance¶
Using the App — installing it, launching it, configuring it, or letting it control a Holophonix processor — constitutes acceptance of these Terms. If you use the App on behalf of an organization, you confirm you have the authority to bind that organization to these Terms.
2. License¶
We grant you a personal, non-exclusive, non-transferable, revocable license to install and run the App on devices you own or operate, for personal or commercial use, subject to the following restrictions:
- You may not redistribute, resell or sublicense the App or its installers
- You may not reverse engineer, decompile or disassemble the App, except where this restriction is explicitly forbidden by applicable law
- You may not remove or alter copyright, trademark or attribution notices
- The App's source code is private and is not provided to end users under this license
The license terminates automatically if you breach these Terms.
3. No warranty — "AS-IS"¶
The App is provided "AS-IS" and "AS-AVAILABLE", without warranty of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted operation.
The App is a remote-control tool for spatial audio processors used in live performance. Live performance carries inherent operational risk. You are solely responsible for verifying that the App behaves as expected on your specific hardware, network and venue configuration before relying on it during a live show. Always run a rehearsal, always have a manual fallback path.
We do not warrant that the App is free of bugs, that it will be compatible with future Holophonix firmware versions, or that data persisted by the App (projects, cues, automations) will not be lost.
4. Limitation of liability¶
To the maximum extent permitted by applicable law, in no event shall TonLab, Achille Decoussé or any contributor be liable for any:
- Lost revenue, lost profit, lost contracts or business opportunities
- Show failures, missed cues, audience or production impact
- Data loss, project file corruption, configuration corruption
- Hardware failure, Holophonix processor crash or misconfiguration
- Indirect, incidental, special, consequential or punitive damages
This limitation applies whether the claim arises in contract, tort, statute or any other legal theory, and even if we have been advised of the possibility of such damages. The total aggregate liability for all claims related to the App is capped at the amount you paid us for the App in the 12 months preceding the claim (which, during the public beta, is zero).
Nothing in these Terms excludes liability that cannot be excluded under applicable law (e.g. gross negligence under French law).
5. Acceptable use¶
You may not:
- Use the App for any purpose that violates applicable law
- Reverse engineer, decompile, modify or create derivative works of the App binaries (except as expressly permitted by law)
- Redistribute the App, its installers or any modified version
- Bypass, disable or circumvent any technical limitation, license check or version gate
- Use the App to attack, probe or disrupt third-party networks, including networks reachable through the Holophonix processor
We may, at our discretion, terminate your license if we reasonably believe you have engaged in any of the above.
6. Beta software¶
During the public beta phase (versions tagged v0.x and v1.0.0-beta*):
- The App is provided as pre-release software. It may contain bugs, incomplete features and undocumented behavior
- There is no service-level agreement (SLA), no guarantee of uptime, no guarantee of issue resolution time
- Breaking changes may be introduced between beta versions, including project file format changes that may require manual migration or, in some cases, may not be backwards compatible
- Features may be added, removed or changed at any time without notice
By installing a beta build you accept these conditions.
7. Governing law and jurisdiction¶
These Terms are governed by French law, without regard to its conflict-of-laws rules.
Any dispute arising from these Terms or from the use of the App shall be brought before the competent courts of the jurisdiction of the publisher's registered office in France, unless mandatory consumer protection law in your country grants you a different choice of forum.

9. Changes to these Terms¶
We may revise these Terms from time to time. The "Last updated" date at the top of this document reflects the most recent revision. Revisions take effect when published and apply to all use of the App from that point forward.
If a revision materially changes your rights or obligations, we will highlight it in the in-app "What's New" popup at the next update. Continued use of the App after a revision constitutes acceptance of the new Terms. If you do not accept a revision, your remedy is to stop using the App and uninstall it.
